Agreement to Terms

These Terms of Service ("Terms") govern your use of the Eight Bit Studios website at eightbitstudios.com, our client portal at my.eightbitstudios.com, and any related services provided by Eight Bit Studios LLC ("we," "our," or "us").

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our services.

Services

Eight Bit Studios provides custom software development services, including but not limited to:

• Mobile application development
• Web application development
• MVP and prototype development
• AI integration services
• UI/UX design
• Technical consulting

Specific services, deliverables, timelines, and fees are outlined in separate project agreements between you and Eight Bit Studios.

Client Portal

Our client portal at my.eightbitstudios.com provides authenticated access to:

• Project status and updates
• Document sharing
• Invoicing and payment information
• Communication with our team

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Intellectual Property

Our Property

The Eight Bit Studios website, client portal, branding, and proprietary tools remain our intellectual property. You may not copy, modify, or distribute our materials without written permission.

Your Property

You retain ownership of materials you provide to us (content, logos, data). By providing materials, you grant us a license to use them solely for delivering our services to you.

Deliverables

Ownership of project deliverables is governed by your specific project agreement. Generally, upon full payment, you receive ownership of custom code and assets created specifically for your project.

Payment Terms

Payment terms are specified in your project agreement. General terms include:

• Invoices are due within 14 days unless otherwise specified
• Late payments may incur interest at 1.5% per month
• We reserve the right to pause work on overdue accounts
• All fees are non-refundable unless otherwise specified

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during our engagement. This includes business plans, technical specifications, and financial information. This obligation survives termination of our engagement.

Limitation of Liability

To the maximum extent permitted by law, Eight Bit Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific services giving rise to the claim.

Warranties and Disclaimers

We provide our services with reasonable skill and care. However, we do not warrant that our services will be uninterrupted, error-free, or meet all your requirements.

EXCEPT AS EXPRESSLY SET FORTH HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

Termination

Either party may terminate the engagement as specified in the project agreement. Upon termination:

• You will pay for all work completed up to the termination date
• We will deliver any completed work product
• Confidentiality obligations continue to apply

Governing Law

These Terms shall be governed by the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Cook County, Illinois.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on this page. Your continued use of our services after changes constitutes acceptance of the new Terms.
