Mutual Non-Disclosure Agreement

Agreement Overview

By submitting this form, you ("Party B") agree to enter into a Mutual Non-Disclosure Agreement with Eight Bit Studios, LLC ("Party A") to explore a potential business relationship and exchange confidential information ("Proprietary Information"). This Agreement is effective as of the date of submission ("Effective Date").

Proprietary Information includes, but is not limited to, business plans, financial data, technical designs, customer lists, pricing, and any information identified as confidential.

Confidentiality Obligations

Both parties agree to keep Proprietary Information confidential, not disclose it to third parties other than professional advisors bound by confidentiality, use it only to evaluate the relationship, and ensure any employees or agents are similarly bound.

Exclusions

These obligations do not apply to information that becomes public (not through the fault of the Receiving Party), was known before disclosure or was independently developed without use of or reference to the Disclosing Party's Proprietary Information, is lawfully received from others, or must be disclosed by law with prompt written notice to the Disclosing Party if permitted.

Residual Knowledge

Nothing in this Agreement restricts either party from using general knowledge, skills, or experience retained in the unaided memory of its personnel, provided that party does not use or reference the other's Proprietary Information in doing so.

No Warranties

All information is provided "as is," without warranties. This Agreement does not require either party to proceed with a relationship or to disclose any information.

Duration, Return & Remedies

Confidentiality obligations remain in effect for three (3) years from disclosure, except that information qualifying as a trade secret remains protected for as long as it retains trade-secret status under applicable law. Upon request, either party will return or destroy all Proprietary Information received from the other within thirty (30) days. Unauthorized disclosure may cause irreparable harm entitling the Disclosing Party to injunctive relief.

Prior Agreements

This Agreement supersedes and replaces any prior non-disclosure agreement between the parties, including any agreement accepted through Eight Bit Studios' website, as to all Proprietary Information exchanged before or after the Effective Date.

Governing Law

This Agreement is governed by the laws of Illinois. It cannot be assigned or amended without written consent. If any part is found invalid, the rest remains in effect.
